This document outlines the terms and conditions (the “Terms”) between UrLight Production, also known as Urte Laurinaityte (the “Photographer,” “we,” “us,” or “our”), and the client (the “Client,” “you,” or “your”) regarding the photography services provided by UrLight Production.
Services Offered
UrLight Production provides exceptional photography and videography services for events, weddings, portraits/family, and commercial purposes.
1. Agreement
These Terms and Conditions constitute a legally binding agreement between UrLight Production and the Client. By engaging our services, the Client agrees to these Terms.
2. Services
UrLight Production agrees to provide photography and/or videography services as outlined in the service agreement or invoice. This includes, but is not limited to, event photography, portrait sessions, commercial photography, video production, and post-production editing.
3. Booking and Payment
3.1. By making the required deposit payment, you acknowledge and accept these Terms, thereby activating the agreement between UrLight Production and the Client.
3.2. To secure your booking, a 50% deposit of the total agreed fee is required no later than five (5) days before the scheduled event or photoshoot.
3.3. The remaining balance is due within thirty (30) days of delivery of the final edited images.
3.4. Payments can be made via bank transfer.
4. Cancellations and Refunds
4.1. We understand that plans can change. If you wish to cancel our services, a full refund of the deposit will be issued if cancellation occurs within five (5) days of making the initial booking.
4.2. Cancellations made after this period will result in the retention of the deposit.
4.3. If the Photographer/Videographer cancels, the Client will receive a full refund of all payments made.
5. Late Arrivals and Session Duration
Timeliness is important to us. If the Client or subjects arrive late, the session will start at the scheduled time. Additional time required due to late arrival will be billable. Depending on the situation, the session may be extended or concluded at the originally agreed-upon time.
6. Image Rights and Copyright
6.1. Urte Laurinaityte retains full ownership of all images and videos captured and edited.
6.2. We grant you, the Client, an extended license to use the images for personal and commercial purposes. This license allows you to reproduce, display, and distribute the photos for lawful and non-defamatory activities.
6.3. The Client may not sell, sublicense, or transfer the rights to the images to any third party without explicit written consent from UrLight Production.
6.4. The images must not be used for any defamatory or illegal purposes.
7. Model Release
The Client grants the Photographer/Videographer the right to use images and videos featuring the Client for promotional purposes, including portfolios, websites, and social media, unless otherwise specified in writing.
8. Deliverables
8.1. The final edited images and/or videos will be delivered within four (4) weeks of the shoot or as agreed on the booking day.
8.2. Delivery will be via an online gallery.
8.3. The specific delivery timeline for the final edited images will be agreed upon before the photoshoot, considering the session’s nature and your needs.
9. Client Responsibilities
9.1. The Client is responsible for securing any necessary permissions, permits, and releases for locations and subjects to be photographed or filmed.
9.2. The Client agrees to provide a safe working environment for the Photographer/Videographer.
9.3. Professionalism and mutual respect are essential. The Client agrees to conduct themselves and ensure that all subjects involved in the photoshoot behave courteously and professionally. Inappropriate or harmful behaviour towards the Photographer may result in the termination of our services.
10. Limitation of Liability
10.1. The Photographer/Videographer is not liable for any loss, damage, or injury that occurs during the shoot unless caused by gross negligence.
10.2. The Photographer/Videographer is not responsible for any delays or failures in delivering the final product due to circumstances beyond their control, such as equipment failure or natural disasters.
10.3. In the unlikely event of a total photographic failure or cancellation of this contract by either party or in any other circumstance, the liability of one party to the other shall be limited to the total value of the contract. Neither party shall be liable for indirect or consequential loss.
11. Indemnification
The Client agrees to indemnify and hold harmless the Photographer/Videographer from any claims, damages, or liabilities arising from the Client’s use of the images or videos.
13. Amendments
These Terms and Conditions may be amended by UrLight Production at any time without prior notice. Any changes will be effective from the date of posting on the UrLight Production website. The Client will be notified of any changes and must agree to the updated terms for continued service.
14. Entire Agreement
This agreement constitutes the entire understanding between UrLight Production and the Client. Any modifications must be made in writing and signed by both parties.
By making the required deposit payment, you confirm that you have read, understood, and agreed to these Terms, thereby activating the agreement between UrLight Production and the Client.
